5. THIRD-PARTY REVIEWS

These reviews are not written, curated, or verified by HCTG and reflect only the opinions of third-party reviewers. HCTG does not endorse, adopt, or take responsibility for any third-party review content. Users should exercise independent judgment when relying on reviews.

6. PAID LISTINGS AND PROMOTED VENUES

Some venues pay for promotional placement or enhanced listings on the website. Promoted listings may receive increased visibility in search results or featured placement. 12. NO WARRANTY OF VENUE SERVICES OR EVENT OUTCOMES

You acknowledge that planning and hosting events involves inherent risks, including financial loss, vendor non-performance, cancellations, and unforeseen circumstances, and you assume all such risks in connection with your use of the website.

HCTG does not guarantee the quality, safety, legality, or suitability of any venue or service listed on the website.

HCTG is not responsible for and makes no representations regarding:

• the availability, condition, or suitability of any venue

• event cancellations, delays, or disruptions

• disputes between users and venues

• financial losses or damages related to an event

13. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, HCTG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM:

• Venue performance or failure to perform
• Event cancellations or disputes
• Disputes between users and venues
• Inaccurate or incomplete listing information
• Any unauthorized access to or alteration of your data

IN NO EVENT SHALL HCTG’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HCTG IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless HCTG and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of or inability to use the website; (b) your violation of these Terms; (c) your interactions with any venue; or (d) your violation of any third-party rights.

15. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the website shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, rather than in court, except that you may assert claims in small claims court if they qualify.

The arbitration will be conducted in the State of California, unless otherwise required by applicable law. The arbitrator will apply the laws of the State of California, consistent with the Federal Arbitration Act.

The arbitrator, and not any court, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration provision, including any claim that all or part of this provision is void or voidable.

CLASS ACTION WAIVER: YOU AND HCTG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

You may opt out of arbitration within 30 days of first accepting these Terms by sending written notice to info@herecomestheguide.com with the subject line “Arbitration Opt-Out.”

16. PRIVACY AND COOKIES
